1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and The Big Fat Dad, LLC ("Company," "we," "us," or "our"), operating as Lumis AI, located at 2976 E State St #120-2914, Eagle, ID 83616. By accessing or using the Lumis AI platform at getlumis.ai (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. Description of Service

Lumis AI is a SaaS platform that monitors and analyzes brand visibility across AI-powered search engines and large language models. The Service includes AI visibility scanning across multiple engines, brand mention and citation tracking, competitive benchmarking and share of voice analysis, sentiment and factual accuracy scoring, alert notifications and scheduled reporting, and an AI Visibility Score (the "Lumis Score").

3. Account Registration

You must create an account to use the Service. You agree to provide accurate and complete registration information, maintain the security of your account credentials, promptly notify us of any unauthorized access at support@getlumis.ai, and accept responsibility for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans & Billing

4.1 Plans

The Service is offered through tiered subscription plans (Starter, Growth, Agency, and Whitelabel), each with defined feature limits, scan quotas, and capabilities as described on our pricing page. We reserve the right to modify plan features and pricing with 30 days' advance notice.

4.2 Billing

Subscriptions are billed monthly in advance via Stripe. By subscribing, you authorize us to charge your payment method on a recurring basis. All prices are in U.S. dollars. Applicable taxes may apply based on your location.

4.3 No Refunds

All fees for the Service are non-refundable. As a digital service that provides immediate access to AI-powered analytics upon subscription, refunds are not provided by default. This includes partial-month charges, unused scan quotas, and fees for subscription periods that have already begun. You may cancel your subscription at any time, and you will retain access through the end of your current billing period.

Billing disputes or exceptional circumstances: If you believe there has been a billing error or you are experiencing an issue that warrants review, please contact support@getlumis.ai and we will evaluate your case on an individual basis. We reserve the right to grant refunds or credits at our sole discretion.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of the current billing period. No prorated refunds are provided for partial billing periods.

4.5 Free Trial & Teaser Scans

We may offer free trial periods or limited teaser scans. These are provided at our discretion and may be subject to additional terms. We reserve the right to modify or discontinue free offerings at any time.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Circumvent scan limits, rate limits, or other usage restrictions
• Use automated tools (bots, scrapers) to access the Service outside of our provided API
• Submit queries designed to manipulate or abuse third-party AI engines
• Resell, sublicense, or redistribute the Service or its data without authorization
• Interfere with or disrupt the Service, servers, or networks
• Impersonate any person or entity or misrepresent your affiliation
• Use the Service to generate misleading or fraudulent AI optimization claims

6. Intellectual Property

6.1 Our IP

The Service, including its software, algorithms, design, Lumis Score methodology, and all related intellectual property, is owned by The Big Fat Dad, LLC. These Terms do not grant you any ownership rights in the Service.

6.2 Your Data

You retain ownership of the data you provide (website URLs, brand names, queries). By using the Service, you grant us a limited license to process this data as necessary to deliver the Service. Scan results generated by the Service are licensed to you for your internal business use during your active subscription.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service may be used by us without restriction or compensation.

7. AI Engine Data & Accuracy

The Service queries third-party AI engines to generate visibility data. We do not control or guarantee the responses provided by these AI engines. AI engine outputs may vary over time and between queries. Scan results are informational and should not be the sole basis for business decisions. The Lumis Score is a proprietary composite metric and is not endorsed by any AI engine provider. We are not responsible for changes in AI engine behavior, availability, or policies that may affect scan results.

8. Service Availability

We strive to maintain high uptime but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control (including third-party AI engine outages). We will make reasonable efforts to provide advance notice of scheduled maintenance.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE BIG FAT DAD, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR AVAILABLE AT ALL TIMES, OR THAT SCAN RESULTS WILL BE ACCURATE, COMPLETE, OR RELIABLE.

11. Indemnification

You agree to indemnify, defend, and hold harmless The Big Fat Dad, LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

12. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Idaho, without regard to conflict of law principles. Any dispute arising from these Terms or the Service shall first be addressed through good-faith negotiation by contacting support@getlumis.ai. If a dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration administered by the American Arbitration Association in Ada County, Idaho. You agree to waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment of fees, abusive or fraudulent activity, or at our discretion with reasonable notice. Upon termination, your right to use the Service ceases immediately. Sections relating to intellectual property, limitation of liability, indemnification, and governing law survive termination.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Service at least 30 days before taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree with the changes, you must stop using the Service and cancel your subscription.

15. Miscellaneous

• Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service.
• Severability: If any provision is found unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Failure to enforce any provision does not constitute a waiver of that provision.
• Assignment: You may not assign your rights under these Terms without our written consent. We may assign our rights without restriction.
• Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, pandemics, government actions, or internet infrastructure failures.
